CalaBreak

Terms of Service

Effective September 24, 2026

These terms are the agreement between Outer Sunset Studios LLC (“we”) and the company that signs up for CalaBreak (“you”, or “the customer”), and every person who uses CalaBreak on that company’s account. The person who creates the account confirms that they may accept these terms for their company. The parts that matter most: CalaBreak is a scheduling tool, not legal advice or a compliance service; your company alone is responsible for its employees’ breaks, wages and any penalties; your data stays yours; and the subscription renews until you cancel.

What CalaBreak is

CalaBreak builds meal-break and rest-break schedules for event staff, applying California break rules, your hot times and your position priorities, and lets your team review, edit and share them.

Not legal advice, and not a compliance service

CalaBreak is scheduling software. It proposes break times using rules and deadlines as we understand them, and it warns when a schedule appears to miss one. It does not provide legal, employment, payroll or compliance advice, it does not monitor whether breaks are actually taken, and its schedules, checks and warnings are not a statement or guarantee that any schedule complies with California law or any other law. Laws change, and every event is different; CalaBreak may be wrong or out of date.

You are the employer, and you alone are responsible for complying with the laws that apply to your workforce, including meal and rest periods, wages, premium pay, recordkeeping and penalties. That includes checking every schedule before you use it, making sure breaks are actually given, the accuracy of the shifts and other information you enter, and your own records. We are not your employer, agent, payroll provider or legal adviser, and we do not take on any of your obligations to your employees or to any government agency. Consult an employment lawyer about your obligations.

Accounts

Each company account has admins, who manage the team and billing, and may add editors and commentators by invitation. Users must be at least 16 and can delete their own accounts in the app. You are responsible for who you invite, for keeping passwords private, and for what happens on your account; tell us promptly if you think someone has used it without permission. Admins can remove members at any time.

Your data

The schedules, staff information and files you put into CalaBreak belong to you. You give us permission to store, process and display them only as needed to provide CalaBreak to you, including showing a shared schedule to anyone you give its share link. We do not use your data for any other purpose and do not sell it. Our Privacy Policy describes how we handle it.

You confirm that you have the right to enter the information you put in, including your staff’s names and shifts, and that you have given your staff any notice the law requires. Do not enter medical diagnoses, health information or other sensitive personal details; CalaBreak does not need them.

Trial, subscription and billing

Acceptable use

You agree not to:

Availability and changes

We work to keep CalaBreak available and accurate, but we do not promise it will be uninterrupted or error-free. We may change, add or remove features. If we ever end the service, we will give admins at least 30 days’ notice by email, time to export their schedules, and a prorated refund of any prepaid period that we do not provide.

No warranty

Except as these terms say otherwise, CalaBreak is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and that any schedule complies with any law.

Limitation of liability

To the fullest extent the law allows:

These limits apply to every kind of claim, including contract, negligence and statute, even if we were told the loss was possible. Some places do not allow some of these limits, in which case they apply as far as the law permits.

Indemnification

You will defend, indemnify and hold harmless Outer Sunset Studios LLC and its owners from any claim, demand, investigation, penalty or cost (including reasonable attorneys’ fees) brought by a third party, including your employees, former employees, their representatives or any government agency, that arises from your employment practices, your wages, breaks or scheduling, the information you entered into CalaBreak, or your breach of these terms or of the law.

Termination

You can cancel, or delete your company account in the app, at any time; a deleted company can be restored by its admin for 30 days and is then deleted permanently, as our Privacy Policy describes. We can suspend or close an account that breaks these terms, does not pay, or has to be closed to comply with the law; where it is reasonable we will tell you why first and give you a chance to fix it. If we close an account, you can ask us for an export of your schedules within 30 days. The sections on your data, not legal advice, no warranty, limitation of liability, indemnification and governing law survive termination.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be handled in the state or federal courts in San Francisco County, California.

Changes to these terms

We may update these terms. The date at the top always shows the latest version, and for significant changes we will email your admins at least 30 days before they take effect. Continuing to use CalaBreak after that means you accept the new terms.

General

If any part of these terms is unenforceable, the rest still applies. These terms and the Privacy Policy are the whole agreement between us about CalaBreak, unless we sign a separate written agreement with your company. Neither party may transfer this agreement without the other’s consent, except to a successor of its business.
